We review your business, draft a list of potential acquirers from various continents and industry sectors, and agree on your objectives
PREPARATION
We write with you a 1-page "teaser"
and the Information Memorandum.
We agree on the final list of groups to contact
(typically such list can include 50 to 150 firms)
CONNECTION
We contact our connections at HQ level
(CEOs, CFOs, CSOs, CTOs & heads of CorpDev),
manage initial calls and meetings with you.
Then we release the IM and further information when NDAs are signed
NEGOTIATIONS
Alongside your lawyers,
we review and compare offers, negotiate terms
(push-backs are evidently easier when there is a multitude of offers)
in view to select together the optimal offer
DUE DILIGENCE
The data room is opened & due diligence starts, followed by the ultimate adjustments and negotiations at the end of the DD.
CLOSING
The final contract, usually called Share Purchase Agreement (SPA) is signed.
The money is transferred to the shareholders.
We then assist you in communicating the sale to your staff, clients, suppliers, partners and the media
